These Terms & Conditions ("Terms") govern access to and use of OrizonQR, including the website at orizonqr.app, related applications, APIs, dashboards, analytics, OrizonIndex™ features, and any lifetime or subscription licenses (collectively, the "Service").

The Service is operated by OrizonQR, a business established in the Republic of Colombia ("Provider", "we", "us"). The Service is offered and sold globally to customers worldwide, subject to these Terms and applicable law.

By creating an account, redeeming a code, starting a trial, completing a purchase, or otherwise using the Service, you agree to these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the Service.

These Terms are designed to protect legitimate customers and to prevent abuse, fraud, reverse engineering of limits, multi-account schemes, unauthorized resale, payment abuse, and other misuse. We may refuse, suspend, or terminate access when we reasonably believe these Terms or the law have been violated.

1. Acceptance and binding effect

You must be legally capable of entering a binding contract. If you use the Service for a company, agency, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. These Terms apply whether you access the Service from Colombia or from any other country.

Use of the Service after we post updated Terms constitutes acceptance of the updated Terms, except where mandatory law requires a different consent method.

Additional terms may apply to specific promotions, AppSumo deals, beta features, or enterprise agreements. If there is a conflict, the more specific written agreement controls for that subject, and these Terms control for everything else.

2. Definitions

"Provider" means OrizonQR, established in the Republic of Colombia, and any affiliates it designates to operate the Service. "Account" means a registered user profile and associated workspace, companies, QR codes, users, billing state, and license grants. "Workspace" means the tenant container that holds companies, users, and plan limits. "License" means the right to use the Service under a paid plan, lifetime AppSumo tier, courtesy grant, or other entitlement we issue.

"Abuse" includes any attempt to circumvent plan limits, security, billing, scan quotas, retention rules, multi-company caps, user seats, or anti-fraud controls; to harm other users; or to use the Service in a way that is deceptive, illegal, or unfairly burdens our infrastructure.

"Global customer" means any user or entity that purchases or uses the Service from outside Colombia or targets end users in multiple countries. Global availability does not change the Provider’s place of establishment or the governing law of these Terms, except for non-waivable consumer rights that apply in your place of residence.

3. Eligibility and accurate information

You must provide accurate, current, and complete registration, billing, and profile information, and keep it updated. Providing false identity, disposable fraud patterns, stolen payment methods, or misrepresented business details is a material breach.

You are responsible for ensuring your use complies with export controls, sanctions, anti-money-laundering rules, and local laws applicable to you and your end users in every country where you operate campaigns or collect scans.

We may restrict or refuse Service in jurisdictions where offering the Service would violate law, sanctions, or create unacceptable risk for the Provider established in Colombia.

4. Accounts, security, and workspace control

You are responsible for all activity under your Account and Workspace, including actions by invited users, agents, freelancers, and systems using your credentials or API access.

Keep credentials confidential. Notify us promptly of unauthorized access. We may require multi-factor authentication, password resets, or session invalidation for security.

Creating multiple Accounts or Workspaces to evade bans, quotas, pricing, AppSumo code limits, seat limits, company limits, scan limits, or feature gates is prohibited and may result in permanent termination of all related Accounts without refund.

We may limit concurrent sessions, device access, or automation that appears abusive. You may not share a single login to bypass seat licensing.

5. License grant and hard restrictions

Subject to these Terms and your active License, we grant you a limited, non-exclusive, non-transferable (except as expressly allowed for Agency Use where your plan includes it), revocable right to use the Service for your legitimate business purposes within plan limits.

You may not: (a) reverse engineer, decompile, or attempt to extract source code except where mandatory law forbids this restriction; (b) copy, rent, lease, sell, sublicense, or white-label the Service except under an explicit Agency/commercial license included in your plan; (c) scrape, harvest, or bulk-export data in ways that bypass product controls; (d) probe, scan, or load-test production without written permission; (e) remove proprietary notices.

Plan limits (companies, users, QR codes, scans, retention, AI/OrizonIndex features, etc.) are contractual. Circumventing them via technical tricks, multiple Accounts, modified clients, automation, or support social-engineering is a material breach.

Agency Use, if included in your License, allows managing client brands/companies inside your Workspace under the published limits. It does not allow reselling OrizonQR as your own product, sharing master credentials with unlimited end customers, or transferring lifetime entitlements without our written approval and, where applicable, AppSumo rules.

Lifetime or promotional Licenses remain subject to these Terms, fair-use rules, and anti-fraud controls. "Lifetime" does not mean unlimited capacity, unrestricted support, or immunity from suspension for abuse.

6. Acceptable use policy

You may not use the Service to create, distribute, or redirect QR codes or destinations that involve malware, phishing, scams, illegal adult content involving minors, hate or violent extremism, illegal drugs, weapons trafficking, fraud, non-consensual surveillance, or any content illegal in the jurisdictions where you or your audience operate.

You may not interfere with the Service: DDoS, spam scans, artificial inflation of metrics, bot abuse, vulnerability exploitation, or attempts to degrade performance for others.

You may not impersonate OrizonQR, AppSumo, payment providers, or other users; nor misrepresent affiliation, certifications, or results generated by analytics or AI features.

We may investigate suspected violations and may remove content, disable QR destinations, throttle usage, or suspend Accounts while investigating.

7. Fraud, payment abuse, and "tricks"

The following are strictly prohibited and may lead to immediate suspension or permanent ban, forfeiture of unused credits, and reporting to payment partners, AppSumo, banks, or law enforcement where appropriate: chargeback fraud or friendly fraud after receiving value; stolen cards; triangulation schemes; coordinated refund abuse; fake identities; synthetic accounts; and manipulation of trials, promos, or courtesy grants.

You may not exploit bugs, race conditions, UI glitches, pricing display errors, quota miscalculations, or temporary misconfigurations to obtain free or upgraded access. You must report material security or billing bugs in good faith instead of exploiting them.

You may not reverse, launder, or redistribute promotional codes, AppSumo codes, invite links, or internal redemption tokens. Codes are single-use (or limited-use as stated), non-transferable except as the offer explicitly allows, and may be invalidated if obtained or used fraudulently.

Artificial generation of scans, clicks, geo spoofing intended to fake performance, or falsifying analytics to deceive clients, investors, or marketplaces is prohibited.

If we reverse a transaction or restore access in error, that does not waive our right to re-enforce limits, reclaim value, or terminate later.

8. AppSumo and marketplace deals

AppSumo (or similar marketplace) purchases are also subject to the marketplace’s own terms. Redeeming a code binds you to these OrizonQR Terms for use of the Service.

Stacking, sharing, reselling, or farming codes to build unauthorized multi-workspace empires beyond the published tier rules is prohibited. Upgrades must follow the official multi-code path we provide; unofficial stacking is void.

We may refuse redemption on Accounts that already hold conflicting paid subscription history when our product rules disallow combining channels, or on Accounts flagged for abuse.

Marketplace refunds, if any, are governed by the marketplace. Abuse of marketplace refunds after heavy use of OrizonQR may still justify permanent technical bans on related identifiers.

9. Your content, destinations, and responsibility

You retain rights to content you upload (logos, branding, destination URLs, copy). You grant us a worldwide license to host, process, transmit, display, and back up that content solely to operate and improve the Service and to comply with law.

You are solely responsible for destinations linked by your QR codes, privacy notices to end users who scan, marketing claims, and compliance (including cookies/tracking disclosures where required). OrizonQR is a technology platform, not the publisher of your campaigns.

We do not pre-moderate all destinations. We may disable links that appear malicious, illegal, or abusive, with or without prior notice when risk is high.

10. Analytics, OrizonIndex™, and AI features

Analytics, insights, predictions, and AI analyst outputs are informational tools. They are not legal, financial, investment, or professional advice, and they may be incomplete, delayed, or incorrect.

You remain responsible for business decisions made using dashboards or AI suggestions. Do not rely on AI outputs as the sole basis for high-stakes actions without human review.

We may change models, features, retention windows, or insight generation methods as the product evolves, subject to your plan entitlements.

11. Billing, taxes, refunds, and plan changes

Paid subscriptions and one-time purchases are processed by our payment providers and/or marketplaces. You authorize recurring charges where applicable until canceled according to product flows. Prices may be displayed in currencies supported by our payment stack for global sales.

Fees are generally non-refundable except where required by law (including mandatory consumer rules that apply to you), explicitly stated in a written offer, or approved by us at our sole discretion. Chargebacks initiated without first contacting support may be treated as abusive.

Taxes may apply under Colombian law and/or the laws of your country of residence or incorporation. You are responsible for taxes not collected by us or by the payment provider/marketplace. Invoice data you provide must be accurate for cross-border billing.

Price errors may be corrected; we may cancel orders affected by clear pricing mistakes. Currency conversion fees charged by your bank or card network are your responsibility.

Downgrades, upgrades, and conversions between AppSumo lifetime and subscription plans follow in-product rules. Features and limits may change at renewal or upon conversion as disclosed in the product.

12. Suspension, termination, and enforcement

We may suspend or terminate Accounts, Licenses, QR redirects, or API access immediately if we reasonably believe you violated these Terms, create legal risk, non-pay, abuse infrastructure, or harm other customers.

We may permanently ban related Accounts, email domains, payment fingerprints, devices, or Workspaces connected to abuse. Attempting to re-enter after a ban is a further breach.

Upon termination, your right to use the Service ends. We may delete or disable data after a commercially reasonable period, subject to legal holds and backups. We are not obligated to export data after termination for cause due to abuse, except where mandatory law requires.

Sections that by nature should survive (including license restrictions, fraud, IP, disclaimers, liability limits, indemnity, and governing law) survive termination.

13. Intellectual property

OrizonQR, OrizonIndex™, the Service software, branding, documentation, and related IP are owned by us or our licensors. No rights are granted except the limited License above.

Feedback you provide may be used by us without obligation to you. Do not submit feedback that you do not have the right to share.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted, error-free, or completely secure operation; nor that analytics or AI outputs will meet your expectations or produce specific revenue results.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OR DATA; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF: (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (EXCLUDING MARKETPLACE FEES KEPT BY THIRD PARTIES), OR (B) FIFTY US DOLLARS (USD $50), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum extent permitted.

16. Indemnification

You will defend, indemnify, and hold harmless OrizonQR and its affiliates, officers, and employees from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: your content and QR destinations; your misuse of the Service; your violation of these Terms or law; disputes with your clients or end users; and fraud or abuse connected to your Account.

17. Changes to the Service and Terms

We may modify features, limits, UI, and integrations. Material reductions to paid entitlements during a prepaid term will be handled as disclosed in-product or by offering a reasonable alternative when required.

We may update these Terms by posting a new version with a revised date. Continued use after the effective date constitutes acceptance, subject to mandatory law.

18. Establishment, governing law, and disputes (Colombia · global sales)

The Provider is established in the Republic of Colombia and offers the Service for sale and use worldwide. Choosing to buy or use OrizonQR from outside Colombia does not create a local branch, permanent establishment, or change of the Provider’s seat for purposes of these Terms, except where mandatory law provides otherwise.

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Republic of Colombia, without regard to conflict-of-law rules that would require application of another jurisdiction’s laws, except that mandatory consumer-protection or other non-waivable rules of your country of residence may still apply to you as a consumer if the law so requires.

Subject to the previous paragraph, the parties submit to the exclusive jurisdiction of the competent judges and courts of the Republic of Colombia for commercial and contractual disputes between the Provider and business customers (B2B). If you are a consumer with non-waivable rights to sue in your country of residence, those rights remain available to the extent the applicable consumer law cannot be waived.

Before filing a claim, you agree to attempt good-faith resolution by contacting support with a clear description of the dispute and a reasonable cure period of at least fifteen (15) calendar days, unless urgent injunctive relief is needed or the law forbids this step.

These Terms are published in English and Spanish for global customers. For interpretation in proceedings in Colombia, the Spanish version may be used as a reference if a court so requires; otherwise both language versions are intended to have the same commercial meaning. Headings do not affect interpretation.

19. Miscellaneous

If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, including to an affiliate in Colombia or abroad.

These Terms, together with any order forms, plan descriptions in-product at purchase time, and marketplace offer pages where applicable, are the entire agreement regarding the Service and supersede prior oral or written discussions on the same subject.

Headings are for convenience only. "Including" means "including without limitation." Electronic communications and click-to-accept or continued-use acceptance are valid to the extent permitted by Colombian law and other applicable law.
